Sigma Advanced Systems Limited Reports Robust Q3 FY26 Performance, Momentum Builds Across Aerospace and Defence Business

Hyderabad, 17 Feb 2026 Sigma Advanced Systems Limited (herein referred to as “SIGMA”), a global design, development, and manufacturer of mission-critical products for the aerospace and defence sector through its global manufacturing footprint in the UK and India, has announced its financial results for the quarter ended December 31, 2025, covering the period from October to December 2025.

The reported results include the full-quarter performance of Sigma Advanced Systems Ltd (formerly known as Megasoft Ltd). Also included in the reported quarterly results are the consolidated financials of Nasmyth Group Ltd, restricted to only the two months of November and December 2025, post the 100% acquisition of the company on 1st November 2025. The Nasmyth financials have a onetime expense of Rs 91.3 million in transactional costs.

**Includes only amounts relating to Aerospace and Defence business, to compare on a like-for-like basis (excludes rental income/ profit share from associate, as the same is disposed of) Key Financial Highlights for Q3 FY26: • Consolidated total revenue surged to ₹1,594.1 million from ₹211.6 million in Q3 FY25 (excluding rental income from disposed property), marking a sharp expansion in scale of operations • Normalized EBITDA rose to ₹198.8 million, up from ₹17.5 million in the same quarter last year, reflecting stronger operating performance benefiting from global operations.

Commenting on the results, Sunil Kalidindi, CEO of Sigma Advanced Systems, said: “This was an important quarter for us, both operationally and strategically. Alongside delivering on ongoing defence and aerospace programmes, we completed the acquisition of Nasmyth and began the integration process. The financials reflect only a limited consolidation this quarter, but the focus has been on ensuring continuity for customers, programmes, and teams while aligning operations across the group.” He added that the company remains focused on building depth in engineering, manufacturing, and programme ownership, with an emphasis on long-term contracts, quality systems, and execution discipline rather than short-term growth.

Outlook and Growth Trajectory Q3 FY26 represents a transformational quarter for the Company with the consolidation of Nasmyth Group effective 1st November 2025. The current quarter reflects only two months of contribution and therefore does not capture the full earnings potential of the combined platform.

With full-quarter consolidation beginning Q4 FY26 and FY27 reflecting a complete twelve-month impact, the Company is positioned for a significant scale-up in consolidated revenues. The expanded global manufacturing footprint, enhanced aerospace precision capabilities, and strengthened customer relationships provide a strong foundation for accelerated growth.

The integration is progressing ahead of plan, and management is actively pursuing cross-selling opportunities, supply chain optimisation, and operational efficiencies across geographies with the transfer of work to India already commenced. As synergies begin to flow through, we expect progressive improvement in EBITDA margins alongside revenue expansion.

Backed by a healthy order pipeline and strong demand visibility across defence and aerospace markets, the Company remains confident of delivering sustained growth and long-term value creation for shareholders.

Key Business Highlights for Q3FY25: The quarter was marked by steady execution across Sigma’s defence and aerospace programmes, spanning avionics, naval systems, missile electronics, communication systems, and associated engineering services.

• Acquisition of Nasmyth Group Ltd • During the quarter ended 31st December, 2025, Sigma Advanced Systems acquired 100% stake in Nasmyth Group, UK, through its wholly owned subsidiary in the UK. The financial statements of the acquired entity have been consolidated from the date of obtaining control, i.e., 1st November 2025 (two months) and accordingly, results of the quarter ended 31st December 2025 are not comparable to the previous periods disclosed. The transaction costs relating to this acquisition are one time in nature and accordingly, have been disclosed as an exceptional item by the group.

• Scheme of Amalgamation between Sigma Advanced Systems Private Limited • The company obtained an order dated 16th December 2025 from the Hon’ble National Company Tribunal, Chennai Bench (NCLT) sanctioning the scheme of Amalgamation between Sigma Advanced Systems Private Limited (Transferor Company) and Megasoft Limited (Transferee Company) and their respective shareholders and creditors with the appointment date as 1st April, 2024, thus the financials reported may be different from earlier published information by the Company and to that extent not comparable.
