Move to help state govt, tax practitioners besides better coordination

The Ministry of Corporate Affairs, Government of India, has decided to shift the office of Registrar of Companies (RoC), Haryana, from Delhi to Chandigarh. The move will not only result in better coordination with the state government but it will also be convenient for promoters of companies, tax practitioners, chartered accountants and company secretaries to pursue their case easily as they need not go to Delhi anymore.

The total number of companies registered with the RoC, Haryana, is 43,915. In almost every state, the office of RoC is located in the state capital but the RoC, Delhi, was looking after the work of the RoC, Haryana, since the formation of the state.

According to sources, Haryana had for long been demanding that the RoC office should be based in Chandigarh for better coordination with the state government.

The statistics available with the RoC can be useful in industrial policy formation by the state government. With the shifting of the office, it would be convenient for the Ministry of Corporate Affairs also to pursue its cases in the Punjab and Haryana High court and the National Company Law Tribunal (NCLT), as its Bench is also in Chandigarh.

“The shifting of RoC, Haryana, from Delhi to Chandigarh will result in better coordination with the state government. Now, it will be easy for the RoC to pursue court cases in NCLT and the high court. The Companies Amendment Act, 2019 provides for adjudication by the RoC. So it would be convenient for the advocates, CAs and company secretaries to pursue their cases easily as they need not go to the office of RoC, Delhi, anymore,” said Dr Raj Singh, Regional Director, Ministry of Corporate Affairs, and in charge of northern region.

Ashok Jagga, an advocate dealing with NCLT and Debt Recovery Tribunal (DRT) said:”The move will help in saving time and resources as the Punjab & Haryana High Court, RoC office and the NCLT all will be based in Chandigarh now.”

Currently, the office of RoC, Delhi, has the jurisdiction over the companies in the National Capital Territory (NCT) of Delhi and Haryana. The total number of companies with ROC, Delhi, are 3,32,415. If the charge of Haryana is shifted from the RoC, Delhi, to the RoC, Chandigarh, the work load of the RoC, Delhi, will be decreased by 43,915 companies.

Though the decrease in number of companies will be only around 13%, the work load will be decreased significantly.

Further, the establishment of the NCLT Bench in Chandigarh has increased the work load of the RoC, Delhi, for their regular appearances in the NCLT. The significant increase in the number of companies under the jurisdiction of Regional Director (NR) and the RoC, Delhi, needs corresponding changes in infrastructure.

With this shifting, the number of companies under the office of Registrar of Companies, Chandigarh, will increase from 51,000 to 95,000.
